Introduction

Welcome to LuKuai and its services!

Please carefully read and understand these LuKuai Terms of Service (the “Agreement”) before using LuKuai, including the LuKuai mobile website and related services (collectively, the “Service”). In particular, please pay close attention to the disclaimers and limitations of liability concerning LuKuai, as well as provisions that restrict users’ rights. By accessing, browsing, or using LuKuai or its related services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to these terms, please stop using the Service.

This Agreement is entered into between you and LuKuai regarding your access to and use of LuKuai and its related services. “User” or “you” means any individual or entity that accesses or uses LuKuai or obtains authorization to use LuKuai services through channels provided by LuKuai.

LuKuai reserves the right to modify this Agreement at any time due to changes in applicable laws and regulations, changes in business operations or strategies, upgrades to LuKuai, or other reasonable circumstances. Updated terms will be published on the official LuKuai website or through the relevant LuKuai services and will become effective upon publication, replacing the previous version. You may review the latest version of this Agreement at any time. If you do not agree with any modification, you should immediately stop using LuKuai and its related services. Your continued use of LuKuai after the updated Agreement is published constitutes your acceptance of the modified terms.

Users under the age of 18 should read this Agreement together with their parent or legal guardian.

1. Service Description and Usage Guidelines

1.1

LuKuai provides users with Internet-related services and tools, including website navigation, website search and recommendations, access to useful websites and online resources, bookmarking and related personalization features, and other services that may be introduced or updated from time to time.

LuKuai itself does not directly upload, create, or provide third-party content. LuKuai generally does not modify or edit content that users access, browse, transmit, or obtain through third-party websites or services.

1.2

You understand that LuKuai primarily provides Internet-related services. Any equipment required to access the Service, including computers, mobile phones, tablets, or other devices capable of connecting to the Internet or mobile networks, as well as any associated costs, including Internet access fees, telecommunications charges, or mobile data charges, shall be your sole responsibility.

1.3

You must not misuse the LuKuai Service.

Any information, data, text, software, music, audio, photographs, graphics, videos, messages, registration information, or other materials transmitted, accessed, browsed, or otherwise made available through the Service (collectively, “Content”), whether publicly or privately transmitted, is the sole responsibility of the person or entity providing or transmitting such Content.

LuKuai does not control all Content transmitted through the Service and cannot fully control users’ activities. Therefore, LuKuai does not guarantee the legality, accuracy, completeness, authenticity, reliability, or quality of third-party Content.

You acknowledge that when using the Service, you may encounter Content that you find inappropriate, offensive, or objectionable. You agree to evaluate such Content independently and assume all associated risks.

1.4

If LuKuai determines, through reports, complaints, monitoring, or other means, that your use of the Service violates this Agreement or applicable laws and regulations, LuKuai may, at its sole discretion and without prior notice, suspend or terminate some or all of your access to the Service.

If you use LuKuai to distribute or transmit illegal, obscene, violent, fraudulent, or otherwise unlawful information, LuKuai may retain relevant system records where required or permitted by applicable law.

If your activities through LuKuai result in claims, losses, damages, or legal proceedings brought by any third party, you shall be solely responsible for such claims, losses, damages, and liabilities.

1.5

LuKuai reserves the right to monitor users’ use of the Service to the extent permitted by applicable law.

If LuKuai discovers that a user has violated this Agreement, LuKuai may require the user to correct the violation or take any measures LuKuai reasonably considers necessary, including suspending or terminating access to the Service, in order to mitigate the impact of the violation.

2. Ownership and Intellectual Property

2.1

Except for Content independently uploaded, submitted, or transmitted by users, LuKuai retains all rights, title, and interest, including intellectual property rights, in and to LuKuai and its components.

These rights include, without limitation, website content, data, technology, software, source code, user interfaces, designs, graphics, logos, trademarks, and any derivative works related to LuKuai.

2.2

Unless expressly authorized by LuKuai in writing, the materials described above may not be directly or indirectly published, reproduced, distributed, displayed, broadcast, modified for publication or distribution, or otherwise used for commercial purposes.

You may use such materials only for your personal and lawful purposes.

LuKuai shall not be liable for delays, inaccuracies, errors, omissions, interruptions, or other damages arising from or relating to the transmission, delivery, or use of such materials, to the extent permitted by applicable law.

2.3

Any software used by LuKuai to provide its services, including but not limited to images, photographs, animations, videos, audio recordings, music, text, applications, and accompanying documentation, is owned by LuKuai or its respective copyright holders.

Unless expressly authorized by the applicable copyright owner, you may not reverse engineer, decompile, disassemble, attempt to discover the source code of, or otherwise infringe the intellectual property rights associated with such software.

3. User Representations and Obligations

3.1 Prohibited Activities

You agree that you will not, directly or indirectly:

Remove, conceal, or alter any copyright, trademark, patent, or other proprietary notices displayed on or contained within LuKuai;
Interfere with or attempt to interfere with the normal operation of LuKuai, the LuKuai website, or any part or feature thereof;
Circumvent, attempt to circumvent, or claim to be able to circumvent any security, content protection, access control, or measurement mechanisms used by LuKuai;
Use any registered or unregistered trademarks, service marks, company logos, URLs, or other identifying marks belonging to LuKuai without prior written authorization;
Use LuKuai trademarks or other identifying marks in a manner that damages, weakens, disparages, or otherwise infringes the rights of LuKuai or their respective owners;
Provide or disclose any user information to a person who is not the original intended recipient without the user’s explicit consent;
Request, collect, solicit, or otherwise obtain account passwords, authentication credentials, or other security information from other users;
Automatically log users into LuKuai accounts or act as an intermediary for user authentication credentials without authorization;
Provide unauthorized tracking functionality, including identifying or monitoring other users’ activities, visits, or interactions;
Automatically redirect users’ browser windows to other websites without authorization;
Impersonate another person, obtain unauthorized access to LuKuai, or identify another user without that user’s express consent;
Engage in any other activity that violates applicable laws, regulations, or this Agreement.

If you violate any of the above requirements, LuKuai may, depending on the severity of the violation, issue warnings, restrict access, suspend accounts, or terminate your eligibility to use the Service.

If your violation causes any loss or damage to LuKuai, LuKuai users, or LuKuai’s partners, you shall be responsible for the resulting legal liabilities and compensation to the extent required by applicable law.

3.2 User Content and Legal Compliance

You agree that any Content you upload, publish, transmit, or otherwise distribute through LuKuai must comply with applicable laws and regulations and must not contain unlawful or prohibited material.

You must not use the Service to distribute Content that:

Violates applicable laws, regulations, or fundamental legal principles;
Threatens national security, discloses legally protected confidential information, or otherwise violates applicable national security laws;
Damages the legitimate interests, reputation, or rights of others;
Promotes discrimination, hatred, violence, or other unlawful activities;
Promotes illegal religious or extremist activities;
Spreads knowingly false information intended to cause public disorder or unlawful harm;
Contains obscene, sexually explicit, violent, threatening, fraudulent, or criminal content;
Defames, harasses, threatens, or infringes upon the legitimate rights of another person;
Contains any other content prohibited by applicable laws or regulations.

3.3

You must not use the Service for unlawful purposes or in a manner that infringes upon LuKuai’s legitimate business interests.

You may not use LuKuai to distribute unauthorized commercial advertisements, spam, malicious promotions, or other commercial content without permission.

You must not use the Service in a manner that may interfere with or negatively affect the normal operation or security of the Internet or mobile networks.

3.4

You must not use LuKuai to engage in activities including, but not limited to:

Unauthorized access to computer systems, networks, or network resources;
Unauthorized deletion, modification, or addition of computer network functions;
Unauthorized deletion, modification, or addition of data or applications stored, processed, or transmitted through computer networks;
Creating, distributing, or spreading computer viruses, malware, or other destructive programs;
Engaging in any other activity that threatens computer, network, or information security.

3.5

If Content uploaded, published, transmitted, or otherwise distributed by you through LuKuai infringes or is alleged to infringe any third party’s rights, including patent rights, trademark rights, copyrights, neighboring rights, portrait rights, privacy rights, reputation rights, or other legitimate rights, and this results in complaints, reports, inquiries, claims, lawsuits, reputational damage, or financial losses against LuKuai or its partners, you shall take reasonable and lawful measures to assist LuKuai in resolving the matter.

To the extent permitted by applicable law, you shall be responsible for losses directly caused by your unlawful or infringing activities.

4. Intellectual Property Protection

If you upload or publish Content that allows other users to download, view, listen to, access, or distribute such Content, you must ensure that the publication and distribution of such Content comply with applicable intellectual property laws and copyright requirements.

4.1

If you receive a valid infringement notice concerning Content you have uploaded or published, you should promptly remove or disable access to the allegedly infringing Content and cooperate with the notifying party to understand and resolve the matter.

4.2

You acknowledge and agree that LuKuai may process valid third-party copyright or intellectual property infringement notices in accordance with applicable laws and regulations.

Where legally required, LuKuai may remove or disable access to allegedly infringing Content and may adopt reasonable measures to prevent repeated infringement.

5. Privacy

LuKuai respects the privacy and protection of users’ personal information.

When you use LuKuai services, LuKuai may process information in accordance with its applicable Privacy Policy.

By using LuKuai services, you acknowledge and agree that your information may be processed in accordance with the applicable Privacy Policy and applicable laws.

6. Disclaimer

6.1

Due to the nature of Internet services, LuKuai may modify, suspend, interrupt, or terminate some or all of its services from time to time.

Where permitted by applicable law, LuKuai may modify, suspend, or terminate free services without prior notice and shall not be liable to users or third parties for such changes.

6.2

You understand that LuKuai may periodically or occasionally inspect, maintain, upgrade, or repair its service platforms, servers, networks, and related equipment.

LuKuai will make reasonable efforts to provide advance notice where practicable but shall not be responsible for interruptions or temporary unavailability caused by such maintenance.

6.3

LuKuai may modify, suspend, or discontinue any part of the Service or remove certain features at any time.

LuKuai may also suspend or terminate access to the Service where reasonably necessary, including for security, legal, operational, or technical reasons.

Once the Service is suspended or terminated, your right to use the affected Service will immediately cease. Information stored through the Service may become unavailable and may not be recoverable.

6.4

To the maximum extent permitted by applicable law, LuKuai does not guarantee that:

The Service will meet your specific requirements;
The Service will always be uninterrupted, timely, secure, reliable, or error-free;
Any products, services, information, websites, or other materials obtained through LuKuai will meet your expectations;
Any information, software, or other materials downloaded or obtained through LuKuai will be free from viruses, malware, or other harmful components.

You assume all risks associated with downloading, accessing, or using third-party materials obtained through LuKuai.

6.5

To the maximum extent permitted by applicable law, LuKuai shall not be liable for any direct, indirect, incidental, special, consequential, or other losses arising from or related to:

Your use of or inability to use LuKuai;
Products, services, information, or materials obtained through LuKuai;
Unauthorized access to, alteration of, or loss of user information;
Third-party websites, services, products, content, or materials accessed through LuKuai;
Any other matter relating to the Service.

7. Miscellaneous

7.1

To the extent permitted by applicable laws and regulations, LuKuai reserves the right to interpret this Agreement.

7.2

This Agreement becomes effective upon publication.

LuKuai may modify this Agreement from time to time. Updated terms will be published on the LuKuai website or through the relevant Service.

If you do not agree with the modified terms, you should stop using the Service. Your continued use of LuKuai after the modified Agreement is published constitutes your acceptance of the updated terms.

7.3

Notices from LuKuai to users may be provided through website announcements, email, SMS, in-service notifications, or other reasonable communication methods.

Where permitted by applicable law, such notices will be deemed delivered when sent or published.

7.4

This Agreement shall be governed by the laws applicable to the jurisdiction in which LuKuai operates, without regard to conflict-of-law principles.

Any dispute arising from or relating to this Agreement or the use of the Service should first be resolved through good-faith negotiations between the parties.

If the parties cannot resolve the dispute through negotiation, either party may seek resolution through a court of competent jurisdiction.

7.5

This Agreement constitutes the entire agreement between you and LuKuai concerning the subject matter addressed herein and supersedes any prior agreements or understandings relating to the same subject matter.

Except as expressly provided in this Agreement, no additional rights or remedies are granted to either party.

7.6

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, in whole or in part, for any reason, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by applicable law.
